As I said, I didn't want to get into things too heavily since it's 3e.
If you add strength do you lose dex?  If you add dex do you lose
charisma?  Does it require a feat to receive a modification (thus you
can have as many mods as you allow feats)?  Perhaps becoming
exo-skeletal puts a cap on your max dex (sort of like 3e armor) but
gives you a +2 strength (on earth exo-skeletal creatures seem to have a
higher strength ratio).  I don't know, but there are plenty of things
you could do.  Spellcasters might not be able to cast spells with
somatic components if they have an exoskeleton, base AC might drop if
you get wings due to more fragile bones (so you have base AC 8 or 6
istead of 10), etc.
